Year-End Closing for Investment Funds and Fund Managers in Cyprus

· 6 min read · Tsquared Services

Why fund closes need early coordination

Fund year-ends involve several parties: managers, administrators, custodians, depositaries, brokers and auditors. Each depends on information from the others. Starting early and agreeing timelines in advance prevents bottlenecks and protects regulatory reporting deadlines.

Reconcile positions and cash

Agree every holding and cash balance to independent confirmations from custodians, brokers and banks as at the year-end date. Investigate breaks promptly; unresolved differences are a frequent cause of audit delays.

Document valuations

Listed investments are usually straightforward, but private equity, real estate and other hard-to-value assets require documented valuation methods, inputs and approvals. Prepare valuation memos before year-end and make sure they follow the fund's valuation policy.

Capital activity and investor records

Reconcile capital calls, subscriptions, redemptions and distributions to the investor register. Confirm that the allocation of income and expenses between investors or share classes follows the fund documents.

Fees and expenses

Recalculate management and performance fees, and accrue administration, depositary, audit and legal costs. Check that expenses charged to the fund are permitted under its documents rather than borne by the manager.

Manager entity and planning

The management company also needs its own close: revenue from funds, staff costs, regulatory capital and tax. Year-end is also a good time to review the structure for upcoming launches or new share classes.

Key takeaways

  • Agree all positions to independent confirmations.
  • Prepare valuation memos for hard-to-value assets in advance.
  • Reconcile capital activity to the investor register.
  • Recalculate fees and check expense allocation.

Best practices checklist

  1. Agree a year-end timetable with all service providers in Q3.
  2. Hold a pre-audit meeting before the year-end date.
  3. Keep valuation approvals and board minutes together.
  4. Close the manager entity alongside the fund.
